Bancroft Convertible Fund Announces Results of Adjournment Meeting

March 7, 2005 – Bancroft Convertible Fund, Inc. (AMEX: BCV) (the "Fund") announced the results of the February 14, 2005 annual meeting that was adjourned until today, Monday, March 7, 2005.   The adjournment meeting was held to vote on proposals to amend the Fund's fundamental investment restrictions.  All of the proposals were passed by the shareholders.

Bancroft is a closed-end management investment company with more than $110 million in net assets.  The Fund's shares are listed on the American Stock Exchange under the symbol BCV.
