Bancroft Convertible Fund Adjournment Meeting Details

March 1, 2005 – The annual meeting of Bancroft Convertible Fund, Inc. (AMEX: BCV) (the "Fund") held February 14, 2005 was adjourned to Monday, March 7, 2005.   The meeting will be held at 8:30 a.m., Eastern Time, at the Fund's offices located at 65 Madison Avenue, Suite 550, Morristown, New Jersey.  The adjournment meeting is being held to vote on the proposals to amend the Fund's fundamental investment restrictions.

Bancroft is a closed-end management investment company with more than $110 million in net assets.  The Fund's shares are listed on the American Stock Exchange under the symbol BCV.
